1. Parties and acceptance

This End User License Agreement (“EULA”) is between Alayer.AI LLC, a Kansas limited liability company (“Alayer.AI,” also referred to as “Alayer AI,” “we,” “us,” or “our”), and the individual named as the licensed end-user at purchase and on the stamped materials (“you” or the “Named End-User”).

Acceptance at checkout. Before you pay, you must confirm that you have read and agree to this EULA by ticking an acceptance checkbox at checkout that links to the full text of this EULA. The checkbox is not pre-ticked, and the purchase cannot be completed without it. This EULA becomes binding when you tick the checkbox and complete payment. Alayer.AI records the date, time, and EULA version you accepted. If you do not agree, do not complete the purchase.

2. Covered products

This EULA applies to every Alayer.AI readiness pack and related item you obtain under the Single Registered End-User SKU (stock-keeping unit, or product offer) (together, the “Materials”), including:

• Role editions: packs written for a particular role or function (for example, a specific practitioner, manager, or team-lead edition). Each role edition is a separate pack licensed to the same Named End-User.
• Bundles: two or more packs sold together. A bundle licenses each included pack to the one Named End-User; buying a bundle does not add seats or users.
• Version updates: revised versions of a pack you have licensed (for example, version 1.6 (“v1.6”)). Any update you receive is part of the Materials and is governed by this EULA. Whether your purchase includes updates, and for how long, is as stated on the product page or your purchase confirmation; this EULA does not by itself create an update entitlement.
• Audio companion: where provided, any audio recording or narration that accompanies a pack. An audio companion is part of the Materials, is licensed to the Named End-User for personal listening, and is subject to the same restrictions as the written pack.
• Templates and editable files: any editable template, worksheet, or file supplied with a pack.

3. License type: Single Registered End-User / single-use

• One purchaser = one Named End-User only.
• The license to the Materials, as delivered, is personal to the individual whose name is recorded at purchase and stamped on the Materials.
• This SKU is not organization-wide by default. The limited permission for your organization to keep and use Adapted Documents (Section 7) does not make this an organization-wide license.
• Team, organization-wide, or consultant licenses are available only under a separate SKU and separate agreement (see Section 12).

4. Stamping at download; personal data

At download (or equivalent fulfillment), Alayer.AI will stamp (1) the Named End-User’s name and (2) a unique license number on the Materials and on the confirmation notice. The cover of each licensed file will show:

For an audio companion or other format that cannot carry a visible stamp, the license number is recorded against your purchase. You must not remove, obscure, or alter the stamping or the license notice on the Materials as delivered. (Adapted Documents are addressed in Section 7.)

Personal data. Your name and license number are personal data. Alayer.AI processes them to fulfill your purchase, stamp the Materials, verify your license, and enforce this EULA, as described in the Alayer.AI Privacy Policy (privacy notice) at https://alayer.ai/privacy-policy-2/. For buyers in the European Union (EU) and the United Kingdom (UK), Alayer.AI processes this personal data in line with the General Data Protection Regulation (GDPR) or the UK General Data Protection Regulation (UK GDPR), as set out in that Privacy Policy.

5. Proprietary materials: not Creative Commons

The Materials are proprietary to Alayer.AI. They are not licensed under Creative Commons or any other public open license unless Alayer.AI expressly states otherwise in a separate written instrument for a specific item (for example, a free sample with its own limited terms; see Section 10). All rights not expressly granted in this EULA are reserved by Alayer.AI.

6. What you may do (granted rights)

Subject to this EULA, Alayer.AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable (only as stated in Section 13) license to:

• use the Materials for personal readiness use by the Named End-User (for example, learning, preparing your organization’s own readiness work, or drafting internal documents you personally work on);
• print copies for your own work as the Named End-User;
• create Adapted Documents for Your Organization as described in Section 7; and
• use artificial intelligence (AI) assistants and similar software tools to help you read, summarize, customize, or adapt the Materials for your own work and for Your Organization’s Adapted Documents. This permission does not allow use of the Materials to train AI models (see Section 8, item 7).

7. Adapted internal documents

Definitions. “Your Organization” means the single organization (for example, your employer) for which you, as the Named End-User, carry out the readiness work. “Adapted Documents” means internal documents you create for Your Organization by filling in, tailoring, or adapting the Materials (for example, Your Organization’s own policies, procedures, registers, and Statement of Applicability (SoA)) that reflect Your Organization’s own information and decisions.

What Your Organization may do. Your Organization may keep, use, copy, modify, and maintain Adapted Documents for its own internal business and compliance purposes, including sharing them with its own personnel and with its auditors, certification bodies, and professional advisors who need them for those purposes.

Not redistribution. Creating, keeping, and using Adapted Documents in this way is not organization-wide redistribution of the Materials under Section 8, item 1.

The original pack stays personal. The Materials as delivered (the stamped files, blank or unfilled templates, guidance text, and any audio companion) remain personal to the Named End-User. Your Organization may not use Adapted Documents as a way to circulate the original pack, or to distribute blank or substantially unfilled templates for reuse by others.

Stamp on Adapted Documents. Adapted Documents do not need to carry the Named End-User stamp, footer, or any source notice.

Outside Your Organization. Adapted Documents may not be sold, published, or supplied to other organizations as templates or products.

Refunds. If a refund is approved for the Materials, the permission in this Section 7 ends for the refunded Materials, and you and Your Organization must delete all Adapted Documents made from them, as stated in Section 16.

8. What you may not do (restrictions)

Under this Single Registered End-User SKU, you may not:

1. Redistribute the Materials organization-wide (or substantial parts of them), including posting the original pack to shared drives for general staff use, bulk copying for teams, or treating one purchase as a company license. Adapted Documents used as permitted in Section 7 are not organization-wide redistribution.
2. Publicly redistribute the Materials (website, public code repository, social media, marketplace, etc.).
3. Resell the Materials or any substantial part of them.
4. White-label the Materials (rebrand, pass off as your own product, or sell as a third-party offering).
5. Claim that Alayer.AI certifies, audits, or signs your Statement of Applicability (SoA) or any other compliance artifact. Alayer.AI readiness packs do not constitute certification, audit, or sign-off.
6. Treat the Materials as legal advice. They are readiness and educational material only.
7. Use the Materials (or substantial parts of them) to train, fine-tune, or otherwise develop AI models without Alayer.AI’s prior written permission. Using AI assistants to customize the Materials for your own work, as permitted in Section 6, is not training.

9. Readiness-only framing: no guarantees

Alayer.AI readiness packs are tools to help a Named End-User prepare and organize work. They do not:

• guarantee ISO 27001 (or any other) certification;
• replace a competent auditor, assessor, or legal counsel;
• constitute Alayer.AI certification, audit opinion, or SoA signature; or
• create any warranty that your organization will pass an audit.

See also Section 14 (human reviewer of record). Nothing in this EULA states attorney opinions or compliance outcomes.

10. Free sample (if provided)

If Alayer.AI provides a free sample of a readiness pack or excerpt:

• use is for view / evaluation only;
• no derivatives for redistribution or productization;
• no paid client delivery of the sample content; and
• no AI training on the sample.

Full licensed packs under this SKU remain governed by Sections 1–9 and 11–18.

11. Ownership

Alayer.AI retains all ownership of the Materials, documentation, trademarks, and related intellectual property. Your license is a right to use under these terms, not a transfer of ownership. Your Organization’s own information and decisions recorded in Adapted Documents are not owned by Alayer.AI; any Alayer.AI content embedded in Adapted Documents remains Alayer.AI’s and is licensed for use as stated in Section 7.

12. Other license types

Team, organization-wide, consultant, multi-seat, or white-label rights are not included in this SKU. Those require a separate SKU and separate agreement with Alayer.AI.

13. Termination

This license ends if you breach this EULA. On termination you must stop using the Materials as delivered and destroy copies of them under your control, except where retention is required by law.

Except after a refund, termination does not require you or Your Organization to destroy or stop using Adapted Documents created in line with Section 7 before termination; Your Organization may keep and use them under Section 7.

After a refund. If a refund is approved, your license ends and you must delete all copies of the refunded Materials, including Adapted Documents, as stated in Section 16.

Sections that by nature should survive (including Sections 7, 11, 14, 15, 16, 17, and 18) continue after termination.

14. Disclaimer of warranties; human reviewer of record; limitation of liability

AS-IS. To the fullest extent permitted by applicable law, the Materials are provided “as is” and “as available,” without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.

Human reviewer of record. The Materials are not finished evidence. Before any content from the Materials or an Adapted Document is presented as evidence of compliance (to an auditor, certification body, customer, regulator, or anyone else), a human reviewer of record at Your Organization must review it and take responsibility for the claim. Alayer.AI is not the reviewer of record and does not verify evidence.

Limitation. To the fullest extent permitted by applicable law, Alayer.AI’s total liability arising out of or relating to this EULA or the Materials is limited to the amount you paid for the specific SKU giving rise to the claim. To the same extent, Alayer.AI is not liable for indirect, incidental, special, consequential, or lost-profit damages.

Some jurisdictions do not allow certain disclaimers or limitations; in those cases, they apply only to the extent allowed. Section 16 (mandatory consumer rights) takes priority over this Section 14.

15. No affiliation; no ISO standard text

Alayer.AI is neither affiliated with, nor authorized, sponsored, or approved by the International Organization for Standardization (ISO), the International Electrotechnical Commission (IEC), the National Institute of Standards and Technology (NIST), the European Commission, or Microsoft Corporation. References to standards, frameworks, Microsoft products, or other third-party names are for identification only, and those names and marks belong to their owners.

The Materials do not include the text of any ISO standard. You must obtain any ISO standard you need (for example, ISO/IEC 27001) from ISO or an authorized seller.

16. Availability; consumer rights; refunds

Where we sell. Alayer.AI offers the Materials to customers in the United States (U.S.), the EU, and the UK.

Mandatory consumer rights. Nothing in this EULA limits any consumer right that cannot be limited or excluded by contract, to the extent required by applicable law.

Consumers in the EU and the UK. If you buy as a consumer and live in the EU or the UK, you keep the protection of the mandatory consumer laws of the country where you live, including your rights where digital content does not conform to the contract. Purchases made for business purposes are not consumer purchases.

Right of withdrawal (EU and UK consumers). You normally have 14 days to withdraw from (cancel) a purchase. For the Materials, which are digital content not supplied on a tangible medium, that right ends when the download or access begins, but only if, before the purchase, you gave your express consent to immediate supply and acknowledged that you would lose your right of withdrawal (Appendix A, A1), and Alayer.AI then confirmed your consent and acknowledgment in your confirmation notice (Appendix A, A2). If any of these steps did not happen, you keep your right of withdrawal.

Refunds. Refunds and returns are handled under the Alayer.AI Refund and Return Policy at https://alayer.ai/refund-policy/, which is part of your purchase terms. If this EULA and that Policy conflict, this EULA controls the scope of your license and that Policy controls refunds of the purchase price. If a refund is approved for Materials you received, then, as stated in that Policy: (a) your license to the refunded Materials ends; (b) you must stop using them and permanently delete all copies under your control, including downloads, prints, shared copies, backups you can delete, and all Adapted Documents made from them, except where the law requires you to keep them; and (c) you must confirm the deletion in writing (email is fine) within the time that Policy states. Using or sharing the refunded Materials or Adapted Documents after a refund is a breach of this EULA.

17. Governing law and venue

Subject to Section 16, this EULA is governed by the laws of the State of Kansas, United States of America (USA) (Alayer.AI LLC’s state of legal residency), without regard to conflict-of-law rules that would choose another jurisdiction’s law.

Subject to Section 16, courts located in Kansas shall have exclusive jurisdiction over disputes arising from this EULA, except where applicable law requires otherwise.

EU and UK consumers. If you are a consumer living in the EU or the UK, the choice of Kansas law does not take away the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts where you live where the law of that country allows it.

18. General terms

Entire agreement. This EULA, together with your purchase confirmation naming the Named End-User and License No., and the Alayer.AI Refund and Return Policy, is the entire agreement for this SKU. Other SKUs have their own terms.

Changes. Alayer.AI may update these terms for future purchases; the version stated on your confirmation notice applies to that purchase unless we agree otherwise in writing.

Severability. If any provision of this EULA is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain in full effect.

Assignment. You may not assign or transfer this EULA or your license without Alayer.AI’s prior written consent. Alayer.AI may assign this EULA in connection with a merger, acquisition, or sale of all or substantially all of the relevant business or assets.

No waiver. A failure or delay by either party in enforcing any provision is not a waiver of that provision or of any other right.

Notices. Notices to Alayer.AI must be sent by email to support@alayer.ai. Alayer.AI may send notices to the email address you used at purchase. Email notices take effect when sent, unless the sender receives notice of non-delivery.
